1. Introduction and Acceptance of These Terms

These Terms and Conditions govern your access to and use of the website, communications, estimate requests, scheduling tools, informational materials, and related services offered by Heritage Shield Roofing. By accessing our website, contacting us, requesting an inspection or estimate, scheduling services, or otherwise interacting with Heritage Shield Roofing, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms are effective as of 2026-05-22. If you do not agree to these Terms, you should not use our website or request services from us. Additional written agreements, proposals, work orders, contracts, invoices, warranties, financing documents, or insurance-related documents may apply to specific roofing, repair, maintenance, inspection, or installation services. If there is a conflict between these general Terms and a signed written agreement for a specific project, the signed written agreement will control for that project to the extent of the conflict.

2. About Our Services

Heritage Shield Roofing provides roofing-related services and information, which may include roof inspections, repair assessments, replacement consultations, maintenance recommendations, storm-damage evaluations, gutter or exterior-related recommendations, project estimates, scheduling communications, and general educational content about roofing materials and processes. The exact scope of any services will be described in the applicable estimate, proposal, contract, work authorization, or other project documentation.

Information on our website is provided for general informational purposes only and does not replace an in-person assessment, professional evaluation, written contract, engineering report, insurance determination, municipal inspection, or code review. Roofing conditions vary significantly depending on property age, materials, weather exposure, prior workmanship, structural conditions, ventilation, drainage, local codes, and other factors. Any online description of services, pricing, timing, or materials is not a binding offer unless confirmed in a written proposal or contract issued by Heritage Shield Roofing.

We may update, suspend, discontinue, or modify any part of our website or service offerings at any time. We do not guarantee that every service described on the website is available in every location or for every property type.

3. Estimates, Inspections, Scheduling, and Project Documentation

You may request an estimate, inspection, consultation, or service appointment through our website, by email, by phone, or through other communication channels. Any request submitted to Heritage Shield Roofing is subject to review, availability, site access, property conditions, geographic service area, safety considerations, and applicable law.

Unless expressly stated in a written agreement, an estimate is not a final contract and may be revised after further inspection, discovery of concealed conditions, material price changes, code requirements, permitting issues, access constraints, or changes requested by the property owner. Examples of concealed or additional conditions may include rotted decking, structural deterioration, inadequate ventilation, damaged flashing, mold, pest damage, hidden water intrusion, noncompliant prior work, multiple roofing layers, or unsafe access conditions.

Project scheduling is subject to weather, material availability, labor availability, permitting, inspections, customer approvals, payment status, property access, supplier delays, safety conditions, and other circumstances beyond our control. We will make commercially reasonable efforts to communicate schedule changes, but we are not liable for delays caused by weather, emergencies, supply chain issues, governmental actions, acts of God, or conditions not reasonably within our control.

For any roofing or construction work, the final scope, price, payment schedule, warranties, materials, change-order process, and other project-specific terms should be confirmed in writing. You are responsible for reviewing all project documents carefully before signing or approving work.

4. User Responsibilities and Property Access

When you use our website or request services, you agree to provide accurate, current, and complete information, including your name, contact details, property address, property ownership or authorization status, and relevant project information. You agree not to submit false information, impersonate another person, interfere with our website, attempt unauthorized access to our systems, or use our services for unlawful or abusive purposes.

If you request that Heritage Shield Roofing inspect or perform work at a property, you represent that you are the property owner or otherwise have authority to grant access and request the applicable services. You are responsible for ensuring safe and lawful access to the property, including access to driveways, yards, roofs where appropriate, attics where relevant, electrical sources if needed, and other areas reasonably necessary for inspection or work.

You agree to disclose known hazards, restrictions, or special conditions at the property, such as fragile structures, unsafe decking, pets, security systems, tenants, asbestos concerns, electrical hazards, restricted access areas, known leaks, prior structural damage, or pending insurance or legal disputes. You are also responsible for securing or moving vehicles, outdoor furniture, landscaping items, fragile belongings, valuables, or other property that may be affected by inspection or work, unless otherwise agreed in writing.

5. Payments, Invoices, Deposits, and Change Orders

Payment terms for any project will be set out in the applicable estimate, invoice, proposal, contract, or written agreement. Depending on the project, Heritage Shield Roofing may require deposits, progress payments, final payment upon substantial completion, payment before ordering custom materials, or other payment arrangements permitted by applicable law.

You agree to pay all amounts due in accordance with the applicable project documents. Late payments may result in delayed scheduling, suspension of work, collection activity, interest or late fees where permitted by law, recovery of collection costs, or other remedies described in the applicable agreement or available under law. Any disputed charge should be raised promptly and in good faith by contacting hello@heritageshieldroofing.com.

Changes to the project scope, materials, quantities, timelines, or work conditions may require a written change order or other written approval. Change orders may affect price, completion time, warranty coverage, and required permits or inspections. Unless otherwise required by law, Heritage Shield Roofing is not obligated to perform work outside the agreed scope without written approval and any required payment arrangements.

If a project involves insurance proceeds, claim estimates, mortgage company checks, financing, or third-party payment arrangements, you remain responsible for payment unless a written agreement signed by Heritage Shield Roofing states otherwise. We do not guarantee insurance claim approval, coverage amounts, deductible treatment, or payment timing.

6. Permits, Codes, Homeowner Associations, and Legal Compliance

Roofing and exterior work may be subject to building codes, permits, inspections, zoning requirements, historic district rules, fire ratings, ventilation standards, energy requirements, manufacturer specifications, and homeowners association or condominium rules. The applicable project documents should identify responsibility for permit applications and related fees where required.

You are responsible for informing Heritage Shield Roofing of any homeowners association rules, condominium requirements, landlord or tenant restrictions, historical preservation obligations, access limitations, or private covenants that may apply to the property. Unless expressly agreed in writing, Heritage Shield Roofing is not responsible for obtaining private association approvals or verifying all private property restrictions.

Heritage Shield Roofing strives to perform contracted work in accordance with applicable legal requirements and professional standards. However, code compliance may require changes to the scope or price if existing property conditions are noncompliant, concealed, unsafe, or materially different from what was initially observed. We may decline, pause, or stop work if continuing would create an unsafe condition, violate applicable law, or exceed the agreed scope without proper authorization.

7. Warranties, Materials, and Maintenance

Any warranties applicable to a project will be described in the applicable written agreement, manufacturer documentation, or warranty materials. Warranties may include manufacturer warranties for roofing products and, where offered, workmanship warranties from Heritage Shield Roofing. Warranty coverage, exclusions, claim procedures, transferability, and duration may vary by product, installation method, property condition, maintenance practices, and written warranty terms.

Manufacturer warranties are provided by the manufacturer and are subject to the manufacturer’s terms, conditions, exclusions, registration requirements, and claim procedures. Heritage Shield Roofing does not control manufacturer warranty decisions and does not guarantee that a manufacturer will approve a claim.

Roofing systems require appropriate maintenance. Failure to maintain gutters, remove debris, address storm damage promptly, maintain ventilation, prevent ice dams, repair unrelated exterior damage, avoid unauthorized modifications, and respond to leaks or visible damage may affect performance and warranty coverage. Damage caused by severe weather, falling objects, foot traffic, animals, fire, structural movement, improper maintenance, prior work by others, or unauthorized repairs may be excluded from warranties unless otherwise stated in writing.

Except as expressly provided in a written agreement or required by law, the website and general service information are provided without warranties of any kind, whether express, implied, or statutory.

8. Website Use, Intellectual Property, and Communications

All content on our website, including text, images, graphics, service descriptions, branding, logos, layout, and other materials, is owned by Heritage Shield Roofing or used with permission and is protected by intellectual property and unfair competition laws. You may view website content for your personal, noncommercial use in connection with considering or obtaining services from Heritage Shield Roofing. You may not copy, modify, distribute, scrape, reproduce, sell, or exploit our website content without our prior written permission.

Third-party services are governed by their own terms, privacy policies, underwriting standards, warranties, approvals, and procedures.

Heritage Shield Roofing is not responsible for the acts, omissions, decisions, delays, denials, pricing, warranties, financing terms, claim determinations, or data practices of third parties. Any financing approval, insurance claim payment, manufacturer warranty approval, or permit decision is handled by the relevant third party or governmental authority and may require separate documentation or eligibility review.

If we provide general information about insurance claims, storm damage, financing, or available materials, such information is for convenience only and should not be considered legal, financial, insurance, tax, engineering, or architectural advice. You should consult appropriate professionals for advice specific to your situation.

10. Disclaimers and Limitation of Liability

To the fullest extent permitted by applicable law, the website and all general informational content are provided on an as is and as available basis. Heritage Shield Roofing does not warrant that the website will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that website content will always be current, complete, or suitable for every property or circumstance.

To the fullest extent permitted by law, Heritage Shield Roofing and its owners, employees, contractors, representatives, suppliers, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, loss of use, loss of data, business interruption, or property-related consequential damages arising from your use of the website or general reliance on website content.

For services performed under a written agreement, liability will be governed by the applicable agreement and applicable law. Nothing in these Terms is intended to limit liability in a way that is prohibited by law, including liability for willful misconduct, fraud, or other liability that cannot be excluded. Some states do not allow certain limitations or exclusions, so some of the above limitations may not apply to you.

You agree that any claim relating to the website or these Terms must be brought within the time period required by applicable law, and if no shorter mandatory period applies, within one year after the claim arose, unless such limitation is prohibited by law.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Heritage Shield Roofing and its owners, employees, contractors, representatives, suppliers, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the website, your violation of these Terms, your submission of false or unauthorized information, your failure to provide safe or lawful property access, your violation of law or third-party rights, or disputes relating to your authority to request services for a property.

This indemnification obligation does not apply to the extent a claim is caused by the gross negligence, willful misconduct, or other legally non-indemnifiable conduct of Heritage Shield Roofing. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

12. Governing Law, Dispute Resolution, and Changes to These Terms

These Terms are governed by the laws of the State of New York and applicable United States federal law, without regard to conflict-of-law principles that would require the application of another jurisdiction’s laws. Unless a written project agreement states otherwise or applicable law requires a different venue, you agree that disputes relating to these Terms or your use of the website will be handled in the state or federal courts located in New York County, New York.

Before filing a legal claim, you agree to make a good-faith effort to resolve any dispute by contacting Heritage Shield Roofing at hello@heritageshieldroofing.com and describing the issue, the relevant property or transaction, and the relief requested. We will make a reasonable effort to respond and attempt to resolve the matter informally.

We may update these Terms from time to time to reflect changes in our services, legal requirements, business practices, or website operations. Updated Terms will be posted with a revised effective date. Your continued use of the website or request for services after updated Terms are posted means you accept the updated Terms, except where additional notice or consent is required by law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. No waiver of any provision will be deemed a further or continuing waiver. These Terms, together with any applicable written project documents, constitute the relevant agreement between you and Heritage Shield Roofing regarding the subject matter described in them.
